 I. Principles of Cooperation

   II. Sales Model
   To minimize circulation channels, reduce intermediaries, facilitate management, and maximize cost reduction, while providing the greatest development and profit space for partners, Nanjing Tianwei Vision mainly adopts agents to expand the market. Currently, agent sales have become a main sales channel for our product promotion.
   III. Qualification Requirements and Responsibilities of Agents
   1An independent legal entity registered with the industrial and commercial bureau. "Business scope"Includes sales of security and communication products, security and communication technology services, etc.
   2Have an independent office space. After becoming our agent, a dedicated space must be established to display our products and place promotional materials, with a dedicated person responsible.    
   3At least have 1years of business experience and a good company image. Experience in system integration and solution sales.    
   4Agree to actively sell our series of products and proactively cooperate with the company to develop the market. Have a complete company organizational structure and a sales and service team dedicated to selling our series of products.  
   5Business focused on the security market. Have a stable customer base and in-depth understanding of customers.    
   6In optical communication products, primarily sell our series of products.
   7Comply with our series of product channel business specifications. Accept our coordination of product pricing when competing with multiple parties.    
   8Regularly participate in our market activities, promotional activities, and related training.    
   9According to the agency agreement, provide technical support and after-sales service to local users or contractors on behalf of Nanjing Tianwei Vision.
   10According to the agency agreement, complete the specified sales volume within the agreement period (tentatively one year).   
   11If the sales volume cannot be completed within the agreement period, our company can handle it according to the specific contract. 
   IV. Rights and Interests of Agents
   (1) Agents can receive technical support from Nanjing Tianwei Vision
   1Product technical training.
   2Assistance in the production of complete solutions and bidding documents.
   3Assistance in engineering implementation and maintenance solutions.
   42424-hour real-time technical consultation (via phone, fax, online consultation, etc.).
   52424-hour market service hotline, providing various market services at any time.
   (2) Agents can receive market support from Nanjing Tianwei Vision
   1 Free access to market information resources.
   2Support for market promotion activities and product advertising.
   3 Assistance in market evaluation and continuous improvement suggestions.
   V. Guarantee of Agents' Rights and Interests
   1Provide high-quality communication products.
   2Increase market promotion efforts and establish a strong brand image.
   3In principle, Nanjing Tianwei Vision does not supply directly to local terminals.
   VI. Commitment of Agents
   Our company has a strict regional division policy. All distributors or individuals can only operate within the area where they have obtained distribution qualifications and are not allowed to sell across regions; otherwise, it will be regarded as smuggling.
